Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you (the "User") and Zindex Ltd, a company registered in England and Wales (company number: 09390031) trading as Unibound.ai ("Unibound," "we," "us," or "our"). These Terms govern your access to and use of Unibound.ai’s services, including but not limited to AI automation tools, integrations, and related software (the "Services").

By accessing or using our Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not accept these Terms, you must not use the Services.

1. Definitions

1.1 "Company", "We", "Us", or "Our" refers to Zindex Ltd, trading as Unibound.ai.

1.2 "User", "You", or "Your" refers to any individual or entity using our Services.

1.3 "AI Agents" refers to the AI-powered automation tools provided by Unibound.ai.

1.4 "Subscription" refers to the paid access to our Services as defined in Clause 5.

1.5 "Third-Party Services" means any external platforms, software, or services that Unibound.ai integrates with or relies upon, including but not limited to n8n, Supabase, and Vapi.

2. User Agreement & Eligibility

2.1 You represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

2.2 You acknowledge and agree that these Terms apply from the moment you create an account, sign up for a subscription, or otherwise access or use the Services.

2.3 We reserve the right to modify, suspend, or terminate access to the Services at our discretion in the event of a breach of these Terms.

2.4 The Services include access to AI-powered automation agents, tools, and related integrations. The scope of features and automation capabilities may expand or change over time at our discretion.

3. User Accounts

3.1 To access certain features of the Services, you must create an account. You agree to provide accurate and complete information during the registration process and to keep this information updated.

3.2 You are solely responsible for maintaining the confidentiality of your login credentials and for any activity conducted through your account.

3.3 Unauthorised access or use of another User’s account is strictly prohibited

4. Acceptable Use

4.1 You agree not to:

(a) Modify, reverse engineer, decompile, or otherwise attempt to extract the source code of any Unibound.ai Services;

(b) Access or attempt to access non-public areas of the platform, including security-sensitive functionalities;

(c) Scrape, copy, or monitor content using automated means such as bots or data-mining tools;

(d) Use the Services for any unlawful, fraudulent, or deceptive activities;

(e) Upload or distribute malicious software, viruses, or other harmful content.

4.2 Violation of this clause may result in the immediate suspension or termination of access to the Services.

5. Subscription, Billing & Payment

5.1 The Services are provided on a subscription basis, billed monthly in advance. Users may cancel at any time; access continues until the end of the paid billing period. Some plans may include a minimum commitment period, which will be detailed in a separate agreement or order form.

5.2 Subscriptions are billed monthly from the date of sign-up. Users must maintain valid payment details to continue access.

5.3 We reserve the right to modify pricing. Users will be notified of any pricing changes at least 30 days in advance and may cancel their subscription before the new pricing takes effect to avoid incurring the increased charges.

5.4 Failure to make timely payments may result in suspension or termination of Services.

Refund Policy

5.5 Users may cancel their subscription at any time. Cancellation shall be effective at the end of the current billing cycle.

5.6 First-time subscribers who cancel within 14 days from the date of subscription activation may be eligible for a full refund, provided they have handled fewer than 100 leads during this period.

5.7 Subscriptions renew automatically each month unless cancelled by the User.

5.8 We aim to provide 99.9% uptime and reasonable continuity of service. However, Services may be interrupted for scheduled maintenance or unexpected technical issues. We will use reasonable efforts to notify Users in advance of significant planned downtime or service interruptions.

6. Intellectual Property

6.1 All intellectual property rights in the Services, including but not limited to software, trademarks, and proprietary technology, remain the exclusive property of Zindex Ltd (Unibound.ai).

6.2 Users are granted a limited, non-exclusive, revocable license to use the Services in accordance with these Terms.

6.3 Any feedback, suggestions, or input provided by Users regarding the Services may be used by Unibound.ai for service improvements without obligation or compensation.

6.4 By submitting suggestions, feedback, or ideas, you grant Unibound.ai a perpetual, worldwide, royalty-free license to use, modify, and incorporate this feedback into our products and services without further obligation or compensation to you.

7. Confidentiality & Data Protection

7.1 Users shall treat all data processed through Unibound.ai as confidential and shall not disclose it to unauthorised third parties.

7.2 This obligation shall not apply to information that:

(a) Is publicly available at the time of disclosure;

(b) Becomes publicly available through no fault of the receiving party;

(c) Is required to be disclosed by law.

8. Data Protection & GDPR Compliance

8.1 Unibound.ai processes personal data in compliance with UK GDPR and applicable privacy laws.

8.2 We use third-party providers, including but not limited to n8n, Supabase, and Vapi, to deliver the Services. We remain responsible for their compliance with our data protection obligations and will ensure that all subprocessors maintain appropriate security measures.

8.3 Users may request access to, correction of, or deletion of their personal data.

8.4 Our Data Protection Officer (DPO) is James Zhao (james@unibound.ai).

8.5 Users retain all rights, title, and interest in any data or content they submit to the Services (“Customer Data”). Unibound.ai does not claim ownership of Customer Data and will only process or access such data as necessary to provide and support the Services, or as required by law.

9. Limitations of Liability

9.1 The Services are provided “as is” and without warranties of any kind.

9.2 We shall not be liable for:

(a) Indirect, incidental, or consequential damages;

(b) Any errors or inaccuracies in AI-generated outputs;

(c) Loss of data resulting from integrations with Third-Party Services.

9.3 Our total liability shall not exceed the fees paid by the User in the last three months.

9.4 You agree to indemnify and hold harmless Unibound.ai and its affiliates, directors, officers, and employees from and against any third-party claims, losses, liabilities, damages, or costs (including reasonable legal fees) arising out of or relating to your misuse of the Services or breach of these Terms.

10. Governing Law & Dispute Resolution

10.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.

10.2 Any disputes shall first be resolved through good-faith negotiations. If unresolved, disputes shall be referred to binding arbitration in London, UK.

11. Changes to These Terms

11.1 We reserve the right to update these Terms. Changes shall take effect upon posting. Continued use of the Services after updates constitutes acceptance of the revised Terms.
